1. Introduction

Welcome to BudCo Technologies Limited (“BudCo”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our platform, including our website, mobile applications, wallet, and any related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.If you do not agree to these Terms, please do not use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years old and have the legal capacity to enter into a binding agreement.
  • Provide accurate, current, and complete information during registration.
  • Comply with all applicable laws and regulations.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Notify us immediately of any unauthorized use of your account.
  • Ensure that you log out from your account at the end of each session.
  • Use strong passwords and maintain appropriate security measures.

4. Services Overview

BudCo provides tools for budgeting, financial planning, and fund disbursement. Our Services may include:

  • Budget creation and management.
  • Expense tracking.
  • Wallet services for fund storage and transfers.
  • Integration with third-party financial services.

5. Wallet Services

  • BudCo’s may provide you with wallet service that allows you to store funds, make payments, and transfer money to other users or third parties. The Wallet is not a bank account and does not offer banking services as defined by the Central Bank of Nigeria (CBN).
    • Eligibility: To use the Wallet, you must:

    • Be at least 18 years old.
    • Have a valid BudCo account.
    • Comply with all verification requirements, including Know Your Customer (KYC) procedures.

      Funding and Transactions: You may fund your Wallet through:

    • Bank transfers.
    • Debit/credit card payments.
    • Other methods as may be made available.
    • All transactions are subject to applicable fees and limits, which will be disclosed to you prior to completion.

      Use of Wallet: You agree to use the Wallet solely for lawful purposes and in accordance with this Agreement. Prohibited uses include, but are not limited to:

    • Money laundering.
    • Terrorist financing.
    • Fraudulent activities.
    • Any other activities prohibited by law.

6. Fees and Charges

BudCo may charge fees for certain Services including Fees associated with the Wallet. All applicable fees will be disclosed to you prior to incurring them. This may include transaction fee, maintenance fee or other applicable charges. You are responsible for any taxes, including value-added tax (VAT), associated with your use of the Services.

7. Security and Unauthorized Transactions

You are responsible for maintaining the security of your Wallet credentials. Notify us immediately if you suspect unauthorized access or transactions. We will investigate and, if necessary, take appropriate action in accordance with applicable laws and regulations.

8. User Conduct

You agree not to:

  • Use the Services for any unlawful or fraudulent activity.
  • Impersonate any person or entity.
  • Interfere with or disrupt the Services or servers.
  • Use any automated means to access the Services.

9. Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property displayed on the Services are the property of BudCo or its licensors. You may not use, reproduce, or distribute any content without our prior written permission.

10. Privacy and Data Protection

We are committed to protecting your privacy. Our data collection and use practices are described in our Privacy Policy, which complies with the Nigeria Data Protection Regulation (NDPR). By using our Services, you consent to the collection and use of your information as outlined in the Privacy Policy.

11. Compliance with Laws

You agree to comply with all applicable laws and regulations, including but not limited to:

  • Central Bank of Nigeria (CBN) regulations.
  • Nigeria Data Protection Regulation (NDPR).
  • Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) laws.
  • Federal Competition and Consumer Protection Commission (FCCPC) guidelines.

12. Suspension and Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

13. Disclaimers

The Services are provided on an “as-is” and “as-available” basis. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

14. Limitation of Liability

To the maximum extent permitted by law, BudCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

15. Indemnification

You agree to indemnify and hold harmless BudCo, its affiliates, officers, agents, and employees from any claim or demand arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.

17. Changes to Agreement

We may update this Agreement from time to time. We will notify you of any material changes by posting the new Agreement on our website. Your continued use of the Wallet after such changes constitutes your acceptance of the new Agreement.
